Job Description
I’m launching a real estate investment fund — Waterfront Fund 1 — focused on acquiring value-add multifamily and residential assets in Florida. I’m a successful business owner with a strong operational background, but this is my first formal real-estate fund.
I’m looking for an attorney who can guide me through the full legal structure, compliance, and documentation required to properly (and safely) set this up.
This will be a collaborative, high-trust engagement. I want someone who can not only draft documents, but also educate me, advise on structure, and help avoid pitfalls.
Scope of Work
I need support with:
- Structuring the GP/LP entity framework
- Drafting and reviewing Operating Agreement(s)
- Private Placement Memorandum (PPM)
- Subscription documents
- SEC compliance (Reg D 506(b) or 506(c) — guidance needed)
- Investor risk disclosures
- Fund economics, waterfall, and compensation structure
- Advising on marketing and communication rules for investor outreach
- Ensuring everything is aligned with Florida and federal regulations
Who I’m Looking For
- Attorney with proven experience forming real estate funds, syndications, or private equity vehicles
- Strong understanding of securities laws, Reg D exemptions, and investor compliance
- Comfortable advising a first-time fund manager
- Clear communicator who can explain complex concepts
- Preferably US-based, Florida familiarity is a plus
About Me
I own multiple successful businesses and have extensive experience in operations, construction, and entrepreneurship. This fund is a new venture, and I want to do it right by working with someone who is smarter than me in this area and can guide the process end-to-end.
